These Terms of Service govern use of the ECode Pro claims management platform operated by ECode. By accessing or using ECode Pro, you agree to be bound by these terms. If you do not agree, do not use the platform.

1. Platform Description

ECode Pro is a web-based insurance claims management platform designed for insurance carriers, third party administrators, independent adjusting firms, MGA claims teams, and related claims organizations.

The platform provides claim lifecycle management, workflow automation, reserve and payment management, diary and task tracking, vendor management, reporting and analytics, and role-based access controls. Features may be updated, modified, or discontinued by ECode with reasonable notice to customers.

2. Acceptable Use

Users agree to use ECode Pro only for lawful purposes in connection with legitimate claims management activities. Users agree not to:

Use the platform for any unlawful purpose or in violation of applicable insurance regulations
Upload or enter data that you do not have authorization to use or disclose
Attempt to access systems, accounts, or data without authorization
Interfere with or disrupt the platform, its servers, or connected networks
Reverse engineer, decompile, or attempt to derive the source code of the platform
Share login credentials with individuals outside your authorized organization
Use the platform to transmit spam, malware, or other harmful content
Misrepresent your identity, organization, or authorization level within the platform

3. Account Responsibility

The organization administrator is responsible for managing user accounts within the platform, including creating accounts, assigning appropriate permission levels, and deactivating accounts for former employees or contractors promptly.

All activity occurring under your organization account is your responsibility. You are responsible for maintaining the confidentiality of login credentials and must notify ECode immediately at support@epescode.com if you suspect unauthorized access to your account.

You are responsible for ensuring that use of ECode Pro by your organization complies with applicable insurance regulations, data protection laws, and any carrier or program administrator requirements applicable to your operations.

4. Data Ownership

Customers retain full ownership of all claims data, policyholder information, documents, photographs, notes, and any other information entered into ECode Pro by their organization.

ECode processes customer data only to provide the platform services described in these terms and in our Privacy Policy. We do not claim any ownership interest in customer data and do not use customer data for any purpose beyond service delivery.

Your data is yours. Upon account termination, you receive a complete export of all your data before any deletion occurs.

5. Confidentiality

ECode maintains strict confidentiality of all customer data. We do not disclose claims data, policyholder information, or any other customer data to third parties except as required by applicable law, as necessary to provide the services, or with your explicit authorization.

Our employees and contractors who have access to customer data are bound by confidentiality obligations. Third-party service providers who process data on our behalf are required to maintain equivalent confidentiality protections under their service agreements with ECode.

6. Platform Availability

ECode strives to maintain continuous platform availability. However, the platform may experience scheduled downtime for maintenance and updates, or unscheduled downtime due to technical issues, infrastructure failures, or circumstances beyond our control.

We will provide reasonable advance notice of scheduled maintenance that affects platform availability. No uptime guarantee is provided under these standard terms unless separately agreed to in a written service level agreement.

7. Limitation of Liability

To the maximum extent permitted by applicable law, ECode shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use ECode Pro, including but not limited to loss of claims data, business interruption, loss of revenue, or financial loss resulting from platform downtime.

In no event shall ECode total liability to you for all claims arising from or relating to these terms or your use of the platform exceed the total fees paid by you to ECode in the twelve months immediately preceding the claim.

8. Disclaimer of Warranties

ECode Pro is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

ECode does not warrant that the platform will be error-free, uninterrupted, or that defects will be corrected. ECode does not warrant that the platform is free of viruses or other harmful components. You assume all risk associated with your use of the platform.

9. Termination

By ECode: ECode may suspend or terminate accounts that violate these terms, with or without notice depending on the severity of the violation. We will provide notice and opportunity to cure non-material violations before termination where practicable.

By Customer: Customers may terminate their ECode Pro subscription at any time by providing written notice. Termination is effective at the end of the current billing period unless otherwise agreed.

Upon termination for any reason, customers receive a complete data export in standard formats within 15 business days. Data is purged from ECode systems within 30 days of confirmed export, with written confirmation provided upon request.

10. Governing Law

These terms are governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. Any dispute arising from these terms or your use of ECode Pro shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek emergency injunctive relief in any court of competent jurisdiction.
